Ronshine China Holdings Limited (RONSHINECHINA) reported that Independent Non-Executive Director (INED) Ren Yunan will resign from the board, effective 1 September 2026, to focus on other business commitments. Ren also steps down as Chairman of the Remuneration Committee and member of the Audit Committee.
The departure leaves the company temporarily non-compliant with several Hong Kong Listing Rules: • Rules 3.10(1) and 3.10A – The board must include at least three INEDs and ensure INEDs represent one-third of total directors. • Rule 3.21 – The Audit Committee must have a minimum of three members. • Rule 3.25 – The Remuneration Committee must be chaired by an INED and comprise a majority of INEDs.
As of the announcement date, RONSHINECHINA’s board consists of four executive directors and two remaining INEDs, resulting in a shortfall of one independent director. The company aims to appoint a suitable replacement within three months from Ren’s departure to restore full compliance and will issue further announcements as necessary.
The board expressed gratitude to Ren Yunan for his service and confirmed there is no disagreement between Ren and the board, nor any matters requiring shareholder attention arising from his resignation.
