PetroChina (857) Proposes Election of New Director

PetroChina Company Limited (the "Company," stock code: 857) issued an announcement proposing the election and appointment of Mr. Zhou Song as a Director, subject to shareholder approval at an upcoming general meeting. According to the announcement, Mr. Zhou is 53 years old, holds a master’s degree, and is a senior economist. He serves as a member of the Party committee and chief accountant of China National Petroleum Corporation (CNPC), having assumed these roles since December 2023.

Mr. Zhou previously held positions at China Merchants Bank Co. Ltd. (CMB), including general manager of the planning and finance department as well as the assets and liabilities management department. He also served as vice chief accountant of China Merchants Group Ltd. and was a non-executive director of CMB from October 2018. Mr. Zhou was the chairman of the supervisory committee of PetroChina from June 2024 to October 2025.

If shareholders approve his appointment, Mr. Zhou’s term will continue until the expiry of the ninth session of PetroChina’s Board. His remuneration will be determined by the Board, referencing duties, responsibilities, performance, the Group’s results, and prevailing market conditions. A notice and circular containing further details on the proposed appointment will be mailed to shareholders in due course. The announcement was dated 2 December 2025 in Beijing, China.
