Hong Kong-listed Breton Technology Co., Ltd. (BRETON, 01333) has signed a placing agreement with CMB International Capital on 13 October 2026 to issue up to 18.32 million new H shares under its existing general mandate.
The transaction: • Size and dilution – The new shares equal 4.88 % of BRETON’s H-share capital and 4.49 % of total issued shares pre-placement, diluting to 4.65 % and 4.30 %, respectively, on completion. • Pricing – Placement price is HK$12.06 per share, a 6.51 % discount to the last close of HK$12.90 and a 19.97 % discount to the five-day average of HK$15.07. • Proceeds – Gross proceeds are capped at HK$220.89 million; net proceeds are estimated at HK$199.06 million, implying a net issue price of HK$10.87. • Timetable – Completion is targeted within two business days after HKEX listing approval, and no later than 31 October 2026, subject to standard conditions precedent. The placing can be terminated by the agent upon defined adverse events.
Post-deal capital structure: • Total shares will rise from 407.88 million to 426.20 million. • The concerted controlling shareholders’ stake will ease from 30.64 % to 29.32 %. • At least six independent professional or institutional investors will take the new shares; none will become a substantial shareholder.
Use of proceeds (HK$ million, % of net): • 119.44 (60 %) – Investment and development of overseas photovoltaic-storage microgrid projects, including potential Phase II of the Deziwa project (30 MWp PV, 60 MWh storage), capacity expansion at the Ruashi project, and the proposed Inhoyi project in Zimbabwe. • 39.81 (20 %) – Repayment of interest-bearing borrowings by end-2026. • 39.81 (20 %) – Working capital and general corporate purposes by end-2027.
Financing context: Since November 2025 BRETON has completed three equity raises, securing a combined HK$428.62 million. Proceeds were allocated primarily to overseas PV-storage projects and technology development. The September 2026 placing of HK$159.12 million remains unutilised, pending foreign-exchange clearances tied to the Ruashi Project’s Phase I funding.
Mandate and lock-up: The new issue draws on the 2026 AGM-approved 20 % general mandate, with 57.99 million shares of capacity remaining post-placement. BRETON has agreed not to issue additional shares or similar instruments until 15 days after completion, subject to customary exemptions.
Strategic rationale: Management cites the need for early capital to secure equipment procurement and construction commitments for overseas microgrid projects, thereby mitigating delays from funding or cross-border remittance processes. The placement supports BRETON’s “PV-storage microgrid + battery-electric mining truck + autonomous driving” strategy targeting mining sites with limited grid infrastructure.
Regulatory steps: BRETON will seek HKEX listing approval for the new shares and complete requisite filings with the China Securities Regulatory Commission. Completion of the deal remains contingent on meeting these conditions; investors are advised to exercise caution as the placement may not proceed if conditions are unmet.
