Jiangxi Copper's Two Acquisition Offers for London-listed SolGold Rejected

Jiangxi Copper Company Limited (00358.HK) announced that it submitted two non-binding cash offers to the board of London-listed SolGold Plc (the target company) on November 23 and November 28 (UK local time). The latest non-binding cash offer proposed acquiring all shares of the target company at 26 pence per share. Both offers have been rejected by SolGold's board.

Currently, Jiangxi Copper holds a 12.19% stake in the target company. The acquisition process remains at the informal offer stage, and it is uncertain whether a formal offer will be made in the future.

According to relevant regulations, Jiangxi Copper must announce a definitive formal offer for the acquisition of SolGold's shares or issue a clear statement abandoning the acquisition by no later than 5:00 PM on December 26, 2025 (UK local time, or 1:00 AM on December 27, 2025, Beijing time).
