Golden Agri-Resources (E5H) said its shareholders approved all 12 resolutions at the company’s annual meeting held on Apr, 24 2026 in Singapore.
The meeting adopted the audited financial statements for the year ended Dec, 31 2025 and endorsed a final dividend of 0.952 Singapore cents per share. Directors’ fees of 0.561 million Singapore dollars for FY2025 were also approved.
Shareholders re-appointed directors Christian G H Gautier De Charnacé, Willy Shee Ping Yah, Muktar Widjaja, Rafael Buhay Concepcion, Jr. and Marie Claire Goolam Hossen, and confirmed Moore Stephens LLP as external auditors.
The AGM renewed the general mandate allowing directors to issue new shares and convertible securities up to 50% of the company’s issued share capital, with a sub-limit of 15% for non-pro-rata issues. It also renewed the authority to repurchase up to 10% of issued shares and refreshed the mandate for interested-person transactions.
Voting was conducted electronically, and all resolutions were carried with at least 79% support; most garnered more than 99% of votes cast. The meeting ended at 10:55 a.m. Singapore time.
