Montage Tech AGM Approves RMB471.77 Million Final Dividend, Elects New Non-Executive Director and Adopts H-Share Incentive Plan

Montage Technology Co., Ltd. (“Montage Tech”) announced that all 16 resolutions tabled at the 2025 Annual General Meeting held on 24 June 2026 in Shanghai were passed by poll. Shareholder turnout represented 41.42 % of the company’s 1,222,200,021 issued shares (excluding 12,533,000 treasury A-shares with no voting rights).

Key resolutions and metrics:

1. Dividend payout • Final cash dividend set at RMB3.90 (tax-inclusive) per 10 shares, calculated on 1,209,667,021 outstanding shares after deducting treasury stock. • Total distribution amounts to RMB471.77 million. • H-share holders will receive HKD4.41 per 10 shares, converted at the RMB/HKD parity rate of 0.88361. • Record date: 14 July 2026; dividend payment date: 29 July 2026. The H-share register will be closed from 9 July to 14 July 2026.

2. Board and governance changes • Wang Zhicong was elected as a non-executive director and joins the Strategy & ESG Committee, replacing retiring director Wang Rui. • All directors attended the AGM; Computershare Hong Kong Investor Services acted as scrutineer and Grandall Law Firm (Shanghai) validated the meeting procedures.

3. Mandates and authorisations • 83.00 % of votes supported a general mandate allowing the Board to issue additional H-shares. • 99.87 % approved a mandate to repurchase H-shares. • An H-Share Incentive Scheme, including mandate limits and service-provider sub-limits, received 85.61 % to 85.64 % support across related resolutions; implementation remains subject to Stock Exchange listing approval.

4. Operational authorisations • 84.21 % approved the 2026 external guarantee limit. • 99.49 % re-appointed Ernst & Young as financial and internal-control auditor. • 99.51 % approved the 2025 Annual Report; 99.92 % endorsed the 2025 profit distribution plan.

Voting patterns show strong majority backing, with only the external guarantee limit and share-issuance mandate receiving less than 90 % support.

No procedural irregularities were reported, and all resolutions are now effective.
