Edding Genor AGM: All Resolutions Secure at Least 99.79% Support, Renewing Board Mandates and 10% Buy-back Authority

Edding Genor Group Holdings Limited held its annual general meeting on 26 June 2026 in Shanghai. Shareholders representing 1.99 billion voting shares—out of 2.01 billion shares in issue, after excluding 23.29 million treasury shares—cast their votes by poll on six ordinary resolutions.

All resolutions passed with overwhelming support, ranging from 99.79% to 100%. Key outcomes are as follows:

1. Adoption of the audited consolidated financial statements for the year ended 31 December 2025 received 1.31 billion votes in favour (100%).

2. Board composition was reaffirmed. Executive directors Ni Xin and Han Shuhua, non-executive director David Guowei Wang, and independent non-executive directors Xu Qing, Chen Wen and Zheng Jingjing were all re-elected. The lowest level of support among these re-elections was 99.93%. The board was also authorised to set directors’ remuneration.

3. Ernst & Young was re-appointed as external auditor for the 2026 financial year with unanimous approval.

4. Shareholders granted a general mandate allowing the board to repurchase up to 10% of issued shares (excluding treasury shares).

5. A separate mandate permits the board to issue, allot or deal with additional shares— including any sale of treasury shares—up to 20% of the issued share capital.

6. Conditional on the above two mandates, the share issue mandate may be extended by the number of shares repurchased.

Computershare Hong Kong Investor Services Limited acted as poll scrutineer. The meeting was chaired by executive director and chairman Ni Xin.

The results confirm broad shareholder support for the company’s current strategy, governance structure and capital-management flexibility.
