OMNIVISION trims A-share base in July; Hong Kong float steady at 4.06%, option exercises raise RMB 16 million

OmniVision Integrated Circuits Group, Inc. (OMNIVISION) has released its monthly return for the period ended 31 July 2026, detailing modest adjustments to its on-shore share base and confirming continued compliance with Hong Kong Stock Exchange (HKEX) public-float requirements.

Authorised capital unchanged • Total authorised/registered shares stood at 1.26 billion (par value: RMB1), comprising 50.74 million H shares and 1.21 billion A shares. • No changes were recorded in H-share authorisation, while authorised A shares dipped by 3.72 million, settling at 1.21 billion.

H-share position stable, public float adequate • Issued H shares remained flat at 50.74 million, with zero treasury holdings. • Public float accounted for 4.06 % of H-share capital, translating into a market value of HK$4.44 billion—well above the HKEX minimum HK$1 billion threshold.

Active management of A-share capital • Issued A shares (excluding treasury) declined by 1.75 million, finishing the month at 1.20 billion—an approximate 0.15 % reduction from June. • Treasury shares decreased by 1.96 million to 8.75 million after the company repurchased 1.96 million shares at RMB 98.13 each and subsequently cancelled 3.92 million treasury shares.

Employee option exercises and cash inflow • Under the 2023 First and Second Phase Stock Option Incentive Plans, employees exercised 205,090 options at an exercise price of RMB 77.91, resulting in the same number of new A shares and generating RMB 15.98 million in proceeds. • Outstanding options under the 2023 and 2025 plans total 28.36 million A shares.

Convertible bond update • The RMB-denominated convertible bonds due 27 December 2026 decreased marginally by six yuan in nominal value due to a negligible conversion that issued six new A shares. • Post-conversion, RMB 2.43 billion in principal remains outstanding, carrying a conversion price of RMB 159.02 and representing a potential 15.30 million additional A shares on full conversion.

Capital structure snapshot (31 July 2026) • Total issued shares: 1.25 billion (H shares 50.74 million; A shares 1.20 billion). • Treasury shares: 8.75 million A shares. • Remaining headroom within authorised capital: 8.76 million shares.

OMNIVISION’s July activities reflect disciplined capital management through selective buybacks, option-related issuance and the orderly retirement of treasury shares, while safeguarding regulatory compliance in both Hong Kong and Shanghai markets.
