Ab&B Bio-Tech Calls 27 May 2026 EGM; Plans to Abolish Supervisory Committee, Revamp Governance and Appoint New INED & Auditor

Ab&B Bio-Tech CO., LTD. JS has issued a circular convening an Extraordinary General Meeting (EGM) for 10:00 a.m. (Hong Kong time) on 27 May 2026 at No. 32 Xinglin Road, Medical High-tech Zone, Taizhou, Jiangsu, with simultaneous online participation via the eVoting Portal.

Key proposals to be put to shareholders are as follows:

1. Governance Structure • Special resolution to abolish the Supervisory Committee, transferring its statutory functions to the Board’s Audit Committee. • Related special resolution to amend the Articles of Association to reflect the new structure and raise the minimum number of independent non-executive directors (INEDs) to “at least three”.

2. Policy Updates • Ordinary resolution to align six internal governance documents—covering meeting procedures, connected-transaction management, external guarantees, INED work rules, information disclosure and others—with the amended Articles.

3. Board Composition • Ordinary resolution to elect Ms. Lui Mei Ka as an INED for the remainder of the second Board term. Ms. Lui, aged 41, is a Hong Kong-qualified CPA with more than 20 years’ corporate-finance experience and currently serves as managing director of Merit Corporate Services Company Limited. Proposed annual director’s allowance: RMB 120,000.

4. External Audit • Ordinary resolution to appoint Prism Hong Kong Limited as external auditor to fill the vacancy left by Deloitte Touche Tohmatsu, effective from the EGM until the next AGM. Indicative audit fee: RMB 2.40 million.

Shareholder Logistics • Shareholders recorded on 27 May 2026 may attend and vote. • The register of members will be closed from 21 May 2026 to 27 May 2026 (both days inclusive); transfers must be lodged by 4:30 p.m. on 20 May 2026. • All resolutions will be decided by poll, and proxies must be lodged no later than 10:00 a.m. on 26 May 2026.

If approved, the new governance framework will become effective immediately after the EGM.
