Kunlun Energy unveils AGM agenda: director re-elections, 20% share-issue mandate, 10% buy-back limit and RMB14.98-cent final dividend

Kunlun Energy Company Limited has released its 2026 Annual General Meeting (AGM) circular, setting out four principal items for shareholder approval on 28 May 2026 in Hong Kong:

1. Director re-elections • Executive Director and CEO He Yongli, appointed on 30 January 2026, will stand for re-election. • Independent Non-executive Director Tsang Yok Sing Jasper, retiring by rotation, also seeks re-appointment.

2. Capital mandates • Share Issue Mandate: authority to allot, issue or transfer treasury shares up to 20% of the issued share capital (about 1.73 billion shares based on 8.66 billion shares outstanding at the latest practicable date of 23 April 2026). • Share Repurchase Mandate: authority to buy back up to 10% of issued shares (approximately 865.88 million shares). • Extension: the share-issue limit can be increased by the number of shares repurchased under the buy-back mandate.

3. FY2025 final dividend • Proposed cash dividend of RMB14.98 cents (HK16.84 cents) per share, totalling roughly RMB1.30 billion. • Shareholders may elect to receive the dividend fully in RMB; election forms will be distributed in mid-June, and cheques are scheduled for mailing on 21 July 2026.

4. Key timetable • Share transfer cut-off for AGM attendance: 4:30 p.m., 21 May 2026; register closed 22–28 May; record date 28 May. • Share transfer cut-off for dividend entitlement: 4:30 p.m., 2 June 2026; register closed 3–4 June; record date 4 June.

Additional information • From 1 January to 23 April 2026, Kunlun Energy repurchased 8.91 million shares on-market; the shares have not yet been cancelled. • PetroChina Hong Kong remains the largest shareholder at 54.38%; a full 10% buy-back would raise its stake to about 60.42% while keeping public float above 25%.

Shareholders unable to attend the AGM in person must lodge proxy forms no later than 48 hours before the meeting. No corporate gifts or refreshments will be provided.
