Xinyi Energy Schedules 29 May 2026 AGM; Proposes HK 3.6 Cent Final Dividend and Renews Buyback, Issuance Mandates

Xinyi Energy Holdings Limited will hold its 2026 annual general meeting (AGM) on 29 May 2026 at 9:30 a.m. (HKT) at 21/F, Rykadan Capital Tower, Kwun Tong, Hong Kong. Shareholders registered by 22 May 2026 are entitled to attend and vote.

Key resolutions to be tabled include:

• Financial Statements and Auditor’s Report: Shareholders will consider the audited results for the year ended 31 December 2025. • Final Dividend: A cash distribution of HK 3.6 cents per share has been recommended for FY 2025. The share register will be closed from 4 to 8 June 2026, with 8 June 2026 set as the record date. • Board Composition: Re-election of Executive Directors Mr Lee Shing Put, B.B.S. and Mr Lee Yau Ching, along with Independent Non-executive Director Mr Leung Ting Yuk. The Board will be authorised to fix Directors’ remuneration. • Auditor: Re-appointment of Ernst & Young as external auditor until the next AGM, with remuneration to be determined by the Board. • Share Repurchase Mandate: Authorisation for the Board to repurchase up to 10% of issued shares (excluding treasury shares) on the Hong Kong Stock Exchange during the mandate period, ending at the earlier of the next AGM, the statutory deadline for holding that meeting, or revocation by shareholders. • General Issuance Mandate: Authority for the Board to allot and issue new shares or transfer treasury shares up to 20% of the company’s issued share capital (excluding treasury shares), with a concurrent mandate to extend this limit by the number of shares repurchased under the buyback authority.

Shareholders unable to attend may appoint proxies by submitting forms to Computershare Hong Kong Investor Services no later than 9:30 a.m. on 27 May 2026. The AGM will proceed under Amber or Red Rainstorm signals; however, if Typhoon Signal No. 8, Black Rainstorm, or “extreme conditions” are in force at or after 9:30 a.m., the meeting will be adjourned.

As of the notice date (30 April 2026), Xinyi Energy’s Board comprises four executive directors and three independent non-executive directors.
