XINYI ENERGY (03868) to Acquire Full Stake in Jinzhai Xinyi Wind Power for RMB62 Million

XINYI ENERGY (03868) announced on December 23, 2025, that its wholly-owned subsidiary Xinyi Energy (Fanchang) has entered into a share transfer agreement to acquire the entire equity interest in Jinzhai Xinyi Wind Power from Xinyi Glass (Wuhu), a wholly-owned subsidiary of Xinyi Glass (00868), and Anhui Xinyi Power, a wholly-owned subsidiary of Xinyi Power (08328). The total consideration is RMB62 million (subject to adjustments).

Jinzhai Xinyi Wind Power owns and operates a wind farm in Jinzhai City, Anhui Province, with an approved generation capacity of 64 MW. The wind farm's operations are governed by a management agreement. As of the announcement date, Xinyi Glass (Wuhu) and Anhui Xinyi Power hold 82.0% and 18.0% stakes in Jinzhai Xinyi Wind Power, respectively.

The transaction aligns with the strategic focus of Xinyi Glass Group (primarily engaged in glass production and sales) and Xinyi Power Group (specializing in automotive glass repair, energy storage products, and solar EPC services). By divesting this non-core asset, both groups aim to streamline operations and reduce costs.

For XINYI ENERGY, which primarily operates solar power projects and is expanding into other renewable energy sectors, the acquisition will diversify its portfolio by adding wind power assets in China, further strengthening its renewable energy business.
