Ganfeng Lithium Group Co., Ltd. (Ganfeng Lithium) has nominated Professor Liu Chongliang, 54, for election as an independent non-executive director (INED), replacing retiring INED Mr. Xu Guanghua. Mr. Xu will step down upon the election of a new INED at the forthcoming general meeting.
If approved by shareholders, Liu’s term will align with the sixth session of the Board and he will receive an annual director’s emolument of RMB0.12 million. A service agreement will be executed following shareholder approval.
Professor Liu holds a Doctor of Laws and serves as Professor and Doctoral Supervisor at Shanghai University of Political Science and Law. His background includes: • Sheshan Scholar and Shanghai Pujiang Talent awardee • Council Member, Chinese Criminology Society • Vice President, Shanghai Prison Society • Legislative advisory expert for the 2025 draft revision of China’s Prison Law • Visiting Professor, John Jay College of Criminal Justice (2017–2018)
Liu has published more than 40 academic papers in core legal journals and led six national or ministerial-level research projects.
The Board confirmed that Liu meets all independence requirements under Hong Kong Listing Rule 3.13, has no financial or other interests in the Group, and holds no shares in the Company. He has not served as a director of any other listed company in the past three years.
Ganfeng Lithium believes Liu’s legal expertise and academic experience will enhance board diversity and governance quality. A circular outlining the proposed appointment and the notice of the general meeting will be dispatched to shareholders in due course.
