Rimag Group names Yip Man Wai joint company secretary as Zhang Xiao resigns; secures new Listing Rules waiver

Jiangxi Rimag Group Co., Ltd. (Rimag Group) has announced senior administrative changes that take effect on 25 August 2026.

• Management reshuffle – Zhang Xiao will step down as joint company secretary, authorised representative under Listing Rule 3.05 and Hong Kong process agent. – Yip Man Wai, currently assistant manager at SWCS Corporate Services Group (Hong Kong) Limited with more than eight years of corporate-secretarial experience, will assume all three positions. – Executive director He Yingfei continues as the other joint company secretary.

• Updated Listing Rules waiver – The Stock Exchange had previously granted a three-year waiver (7 June 2024 – 6 June 2027) permitting He Yingfei to act as joint company secretary while gaining the requisite experience, conditional on Zhang Xiao’s support. – Following Zhang’s resignation, the Exchange has approved a new waiver for the remainder of the original period, provided that He Yingfei receives assistance from Yip Man Wai and the company remains in full compliance with Listing Rules. – Before 6 June 2027 the company must demonstrate that He Yingfei is independently qualified; otherwise further regulatory approval will be required.

The board expressed gratitude to Zhang Xiao for her service and welcomed Yip Man Wai to her new roles.
