Century Group International to Convene 28 Sept 2026 AGM, Shareholders to Vote on Director Re-election, Auditor Renewal and Issuance Mandates

Century Group International Holdings Limited will hold its 2026 annual general meeting (AGM) on 28 September 2026 at 11:00 a.m. at 14/F, Fairmont House, 8 Cotton Tree Drive, Central, Hong Kong.

Key resolutions to be decided by poll include:

• Financial Statements: Shareholders will consider and adopt the audited consolidated financial statements and the directors’ and independent auditor’s reports for the year ended 31 March 2026.

• Board Composition: – Re-election of executive director Ms. Liang Yawen. – Re-election of independent non-executive directors Mr. Law, Michael Ka Ming and Mr. Chung Man Lai. – Authorisation for the board to determine directors’ remuneration.

• Auditor: Proposal to re-appoint OOP CPA & Co. as auditor and authorise the board to set its remuneration.

• Share Issuance and Repurchase Mandates: – General mandate permitting directors to issue new shares up to 20% of the Company’s issued share capital. – General mandate permitting the repurchase of up to 10% of issued shares. – Extension of the issuance mandate by adding the number of shares repurchased under the buy-back mandate.

Shareholders may appoint proxies to attend and vote; completed proxy forms must reach Union Registrars Limited at Suites 3301-04, 33/F, Two Chinachem Exchange Square, 338 King’s Road, North Point, Hong Kong, at least 48 hours before the meeting.
