China Shenhua Energy Company Limited (01088.HK, “China Shenhua”) disclosed on 17 March 2026 that it has completed the registration and issuance of 1.36 billion A-share consideration shares to its controlling shareholder, China Energy, at RMB 29.40 per share. The shares were registered on 16 March 2026 at the Shanghai Branch of China Securities Depository and Clearing Corporation Limited, marking the formal completion of the asset acquisition announced earlier.
Post-transaction, China Shenhua’s total issued share capital expanded by 6.87% from 19.87 billion to 21.23 billion shares. China Energy and its subsidiary now hold 15.19 billion A shares, lifting their stake in the company from 69.58% to 71.53%. Within the A-share class, China Energy’s ownership increased from 83.83% to 85.06%.
Public A-share investors retain 2.67 billion shares, accounting for 14.94% of the enlarged A-share base (12.56% of total equity). The 3.38 billion H shares outstanding remain unchanged, representing 15.91% of the company’s overall share capital.
China Shenhua confirmed that equity transfers for all 12 target companies and related asset transfers tied to the transaction have been completed, aligning with the Asset Purchase Agreement and its supplemental terms.
