Keep Inc. disclosed a Next Day Disclosure Return on 21 July 2026, detailing a fresh on-market share buyback under its existing mandate.
On 21 July 2026, the company repurchased 57,200 ordinary shares on the Hong Kong Stock Exchange at prices ranging from HKD 1.85 to HKD 1.99, for an average cost of HKD 1.94 per share. The aggregate consideration was HKD 110,876.48. The transaction represents 0.0115 % of Keep’s issued share capital (excluding treasury shares) prior to the repurchase, and the shares will be held as treasury stock.
Following the purchase, Keep’s outstanding share count (excluding treasury shares) fell to 498.46 million, while treasury shares increased to 11.82 million. The total issued share capital remains unchanged at 510.28 million shares.
Under the shareholder mandate approved on 4 June 2026, Keep is authorised to buy back up to 50.24 million shares. Cumulative purchases since the mandate now stand at 3.96 million shares, equivalent to 0.79 % of the company’s issued shares on the mandate date, leaving capacity for a further 46.28 million shares.
Separately, 3.52 million shares repurchased between 6 January and 15 April 2026 are still pending formal cancellation.
Pursuant to Hong Kong listing rules, a moratorium on new share issuances or sales of treasury shares is in effect until 20 August 2026.
