ENN Energy: Morgan Stanley Reports Net Derivative Sale of 28,600 Reference Shares Totaling USD 1.47 Million

Hong Kong, 10 June 2026—Morgan Stanley & Co. International plc, classified as a Class (5) associate of the offeror in the proposed privatisation of ENN Energy Holdings Limited, has disclosed a series of derivative transactions executed on 9 June 2026 under Rule 22 of the Hong Kong Code on Takeovers and Mergers.

On the trade date, Morgan Stanley entered into four “other products” derivative deals linked to ENN Energy:

• Purchases: 1,900 reference shares across three maturities (30 Oct 2026, 28 Apr 2027 and 15 May 2028) at prices between USD 51.33 and USD 52.20 per share, for an aggregate consideration of USD 0.10 million.

• Sale: 30,500 reference shares maturing 2 Jul 2027 at USD 51.48 per share, generating USD 1.57 million.

Netting these positions, the firm recorded a net sale of 28,600 reference shares with net proceeds of approximately USD 1.47 million. All positions were booked for Morgan Stanley’s own account, and the resultant balance was zero, indicating no outstanding derivative exposure following the transactions.

The disclosure forms part of the ongoing privatisation process of ENN Energy via a scheme of arrangement, with Morgan Stanley’s activity reported to the Takeovers Executive as required.
