Bulletin Express10-26 19:02

Grown Up Group Investment Holdings Limited (abbreviated as “GROWN UP GROUP”) reported that its Extraordinary General Meeting (EGM) on 26 October 2026 approved a 10-for-1 share consolidation, clearing the way for the change to take effect on 28 October 2026.

The sole ordinary resolution—consolidating every ten issued and unissued shares into one consolidated share—received 612.90 million votes in favour, representing 100% of votes cast. No votes were recorded against the motion, and no shareholders abstained. The company’s entire issued share capital of 1.44 billion shares was eligible to vote.

With all conditions met, trading in the consolidated shares will commence at 09:00 (Hong Kong time) on 28 October 2026. Post-consolidation, share certificates will change colour from grey to yellow; grey certificates will remain valid as title documents but will no longer be accepted for trading and settlement.

Tricor Investor Services Limited acted as the scrutineer for poll counting at the EGM. Apart from Chairman and Executive Director Thomas Berg—who was absent due to other business commitments—all remaining directors participated in the meeting either in person or via electronic means.
