Bulletin Express11-03

China Everbright Bank Company Limited has filed its Monthly Return for the period ended 31 October 2026, confirming a stable capital structure with no new issuances, cancellations or treasury share movements during the month.

Total registered share capital remained at RMB 59.09 billion, comprising 12.68 billion H-shares listed in Hong Kong and 46.41 billion A-shares listed on the Shanghai Stock Exchange, both with a par value of RMB 1 each. No adjustments were recorded in either category.

Issued share counts were unchanged: 12.68 billion H-shares and 46.41 billion A-shares outstanding, with zero treasury shares held. The bank affirmed compliance with the Hong Kong Stock Exchange’s 5% minimum public-float requirement for PRC issuers.

Two tranches of Shanghai-listed preference shares also remained steady at 200 million and 100 million shares, respectively. In addition, RMB 30.00 billion in outstanding compulsory convertible preference shares—approved on 29 June 2016—were unchanged; they carry a conversion price of RMB 2.72 and could translate into up to 11.03 billion A-shares upon trigger events, but no conversions occurred in October.

The filing recorded no active share option schemes, warrants, additional share issue agreements, or Hong Kong Depositary Receipts. All transactions and capital positions were certified as fully compliant with applicable listing rules and regulatory requirements.
