Wing Fung Group Asia Convenes 21 May 2026 AGM; Proposes Adoption of FY-2025 Results, Board Changes and Capital Mandates

Wing Fung Group Asia Limited will hold its annual general meeting on 21 May 2026 at 12:00 noon in Kowloon Bay, Hong Kong. Key items on the agenda are outlined below. All resolutions will be decided by poll voting, and proxy forms must reach the Hong Kong share registrar at least 48 hours before the meeting.

1. FY-2025 Financial Statements • Shareholders will be asked to receive and adopt the audited consolidated financial statements and the reports of the directors and auditor for the year ended 31 December 2025.

2. Board Composition and Remuneration • Re-election of three directors: – Ms. Lai Suk Fan (Executive Director) – Mr. Choy Hiu Fai Eric (Independent Non-Executive Director) – Mr. Chan King Lun (Independent Non-Executive Director) • Authorisation for the board to fix directors’ remuneration.

3. Auditor Re-appointment • Forvis Mazars CPA Limited is nominated for re-appointment as external auditor, with the board authorised to determine its remuneration.

4. Share Issue Mandate • The board seeks a general mandate to issue, allot or deal with shares— including any sale or transfer of treasury shares—up to 20% of the company’s issued share capital (excluding treasury shares) on the date of approval.

5. Share Repurchase Mandate • A separate mandate allows the company to repurchase up to 10% of the issued share capital (excluding treasury shares). • Any shares repurchased under this authority may be added to the 20% issue mandate.

6. Constitutional Amendments (Special Resolution) • Shareholders will vote on adopting a newly updated memorandum and articles of association, replacing the existing version, and authorising directors or the company secretary to complete related formalities.

Attendance in person will revoke any previously lodged proxy authority for the specific resolution voted. The meeting will be held at Unit D, 21/F, Tower B, Billion Centre, 1 Wang Kwong Road, Kowloon Bay, Hong Kong.
