CHI SILVER GP issues 2026 AGM proxy form, seeks shareholder approval for 2025 results, director re-elections and refreshed share mandates

China Silver Group Limited (CHI SILVER GP; 00815) has circulated the proxy form for its annual general meeting (AGM) scheduled for 18 June 2026 at 2:45 p.m. in Hong Kong. Shareholders whose names appear on the register by 4:30 p.m. on 12 June 2026 will be eligible to attend and vote; the register will be closed from 15 to 18 June 2026.

Key resolutions to be decided via poll include:

1. Financial statements • Adoption of the audited consolidated financial statements and the reports of the directors and auditor for the financial year ended 31 December 2025.

2. Board composition and remuneration • Re-election of Mr. Chen Wantian as an executive director. • Re-election of Dr. Zeng Yilong as an independent non-executive director. • Authorisation for the board to determine directors’ remuneration.

3. Auditor re-appointment • Re-appointment of Linksfield CPA Limited as external auditor and authorisation for the board to fix its remuneration.

4. Share capital mandates • General mandate permitting the board to issue, allot or deal with additional shares and/or resell or transfer treasury shares up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the resolution. • Authority to repurchase shares up to 10% of issued share capital (excluding treasury shares). • Extension of the issuance mandate by the number of shares repurchased under the above authority.

Proxy forms must be lodged with Computershare Hong Kong Investor Services by 2:45 p.m. on 16 June 2026. Shareholders who subsequently attend the AGM in person will supersede their submitted proxy instructions.
