AviChina Issues Proxy Form for 19 May 2026 AGM, Covering 2025 Results, Final Dividend and Share Mandates

AviChina Industry & Technology Company Limited has released the proxy form and agenda for its Annual General Meeting (AGM) scheduled for 9:00 a.m. on 19 May 2026 at Building A, No. 14 Xiaoguan Dongli, Andingmenwai, Chaoyang District, Beijing.

Key items to be tabled:

1. 2025 Operating Review and Audited Financial Statements • Shareholders will vote on the Board’s report and the Group’s audited financial statements for the year ended 31 December 2025, as disclosed in the company’s annual report dated 22 April 2026.

2. Profit Distribution Plan, Including 2025 Final Dividend • The proposed distribution plan, which specifies the 2025 final cash dividend, will be submitted for shareholder approval. (Dividend per-share figure is contained in the annual report referenced in the proxy form.)

3. Auditor Re-appointment • WUYIGE Certified Public Accountants LLP is nominated to continue as external auditor for the 2026 financial year, with remuneration to be set at the AGM.

4. Board Composition Adjustment • Mr. Wang Rong is proposed as a non-executive director. His term would begin upon AGM approval and run until the shareholder meeting that approves the next Board session in 2027. The remuneration committee will determine his compensation.

5. Share Issuance and Repurchase Mandates • Two special resolutions seek general mandates authorising the Board to (i) issue new shares and (ii) repurchase existing shares, subject to limits detailed in the AGM notice.

6. Shareholder-Proposed Resolutions • Holders representing at least 1% of voting shares may introduce additional ordinary or special resolutions for consideration at the meeting.

Proxy Logistics:

• Shareholders wishing to vote by proxy must submit the completed form, together with relevant authorisation documents, to the company’s Beijing headquarters (for domestic shares) or to Computershare Hong Kong Investor Services Limited (for H shares) not less than 24 hours before the AGM. • Proxy holders are required to present identification and the signed proxy form when attending the meeting. • Completion of the proxy form does not preclude shareholders from attending and voting in person.
