CHK Oil Announces Resignation of CFO and Company Secretary, Faces Temporary HKEX Non-Compliance

CHK Oil Limited disclosed that Mr. Cheng Chun Shing has resigned from four key positions—Chief Financial Officer, Company Secretary, Authorised Representative and Process Agent—effective 7 August 2026. The departing executive confirmed no disagreements with the Board and no matters requiring shareholder attention. The Board expressed appreciation for his service.

The resignation leaves the company temporarily in breach of several Hong Kong Listing Rules: 1. Rule 3.05, requiring two authorised representatives for communications with the Stock Exchange. 2. Rule 3.28, mandating a company secretary with suitable qualifications or experience. 3. Rule 19.05(2), stipulating maintenance of a Hong Kong–based process agent for overseas issuers.

Management stated it is actively seeking qualified candidates to fill the vacancies “as soon as practicable” to restore compliance with the Listing Rules and Part 16 of the Companies Ordinance.

The current Board consists of four executive directors (Yu Zhibo, Jin Ailong, Wong Chung Kin Quentin and Lam Pui Wang), one non-executive director (Zheng Ye) and three independent non-executive directors (Zhong Bifeng, Huang Qingwei and Chen Yawei).
