Swire Pacific to Hold 2026 AGM on 14 May; Board Seeks 10% Buy-back and 20% Issuance Mandates

Swire Pacific Limited has scheduled its 2026 annual general meeting (AGM) for 14 May 2026 at 9:00 a.m. in the Ballroom, Level 5, Island Shangri-La Hong Kong, Pacific Place, Central. Shareholders will review the Directors’ Report and the audited financial statements for the year ended 31 December 2025 and vote on several key resolutions.

Key agenda items:

1. Board and Auditor Matters • Re-election of Directors: Paul Etchells, Gordon McCallum and Bonnie Zhang have been nominated for re-election, while Edith Ngan will retire and not seek re-election. • Auditor re-appointment and authorisation for the Board to set remuneration.

2. Share Buy-back Authority • Management requests approval to repurchase on-market shares of any class up to 10% of the shares in issue during the mandate period, excluding treasury shares. • The authority would remain valid until the earlier of: (i) the 2027 AGM, (ii) the statutory deadline for holding the 2027 AGM, or (iii) revocation by shareholders.

3. General Mandate to Issue Shares • The Board seeks power to allot, issue or deal in additional shares up to 20% of the existing issued share capital, with a sub-limit of 5% for cash placings not conducted via rights issues or scrip dividends. • The mandate applies for the same period as the proposed buy-back authority.

4. Adoption of New Articles of Association • A special resolution will be put forward to replace the current Articles of Association with an updated version.

Administrative details:

• Shareholders can appoint one or more proxies; proxy forms must reach Computershare Hong Kong Investor Services by 9 May 2026, 9:00 a.m. (48 hours before the meeting). • The register of members will be closed from 11 May to 14 May 2026 (both days inclusive). Share transfers for voting eligibility must be lodged by 4:30 p.m. on 8 May 2026. • Each resolution will be decided by poll. Contingency arrangements for severe weather or “extreme conditions” will be announced on the company and HKEX websites.

As of the notice date (9 April 2026), the Board comprises Executive Directors Guy Bradley (Chairman), David Cogman, Patrick Healy and Martin Murray; Non-Executive Directors Gordon McCallum and Merlin Swire; and Independent Non-Executive Directors Paul Etchells, Edith Ngan, Gordon Orr, Xu Ying and Bonnie Zhang.
