SG Group Holdings Limited has convened an extraordinary general meeting (EGM) for 30 September 2026 at 2:00 p.m. in Chengdu, Sichuan Province, to seek shareholder approval for two structural changes.
First, the board is proposing a special resolution to rename the company from “SG Group Holdings Limited” to “Sefon Holdings Limited,” with the corresponding Chinese name changing from “樺欣控股有限公司” to “四方偉業控股有限公司.” The change will take effect upon issuance of a certificate of incorporation on change of name by the Registrar of Companies in the Cayman Islands.
Second, an ordinary resolution seeks to implement a 10-for-1 share subdivision. Each existing ordinary share of HK$0.01 par value would be subdivided into ten ordinary shares of HK$0.001 each. The authorised share capital will remain at HK$2.00 million but will be re-denominated into 2.00 billion shares post-subdivision, with all subdivided shares ranking pari passu with existing shares.
Both resolutions are conditional on the approvals outlined in the company’s circular dated 15 September 2026. Voting will be conducted by poll.
