Risecomm Appoints Banking Veteran Lam Yuet Ping as Independent Non-Executive Director, Restores Full Compliance with HKEX Corporate Governance Rules

Risecomm Group Holdings Limited (Risecomm) announced the appointment of Mr. Lam Yuet Ping as Independent Non-Executive Director (INED) and member of the Audit Committee, effective 28 September 2026.

Mr. Lam, aged 57, brings more than 25 years of experience in Hong Kong and Mainland China banking. His most recent executive role was General Manager, Commercial Banking Division at Dah Sing Bank’s Shanghai Branch, where he served until August 2020 following earlier positions that included Deputy Branch Manager. He currently holds business interests in a Hong Kong restaurant and an elderly-care facility.

Key terms of Mr. Lam’s engagement: • Initial three-year service agreement commencing 28 September 2026, automatically renewable for successive one-year periods • Annual director’s remuneration: HK$0.12 million • No shareholding, related-party ties, or prior directorships in other listed companies within the past three years • Confirmation of independence under Rule 3.13 of the HKEX Listing Rules

Audit & governance implications: • Mr. Lam’s entry brings the number of INEDs on Risecomm’s Board to at least three, satisfying Listing Rules 3.10(1) and 3.10A. • His inclusion on the Audit Committee raises its membership to the required minimum of three, ensuring compliance with Rule 3.21.

The Board, now comprising two executive directors, two non-executive directors and three independent non-executive directors, formally welcomed Mr. Lam and affirmed that no additional disclosures are required under Rules 13.51(2)(h)–(v) of the Listing Rules.
