CMRU Posts Quarterly Resumption Update: 2025 Audit Stalled, 2026 Interim Results Postponed and Trading Suspension Continues

Bulletin Express07-06

China Metal Resources Utilization Limited (CMRU) reported that the audit fieldwork for its 2025 financial statements has yet to begin because the company remains in discussions with its auditors over outstanding fee settlements. Without a completed audit, the 2025 Annual Results cannot be finalized, delaying both the 2025 Annual Report and subsequent 2026 interim disclosures.

Accordingly, CMRU confirmed it will miss the 31 August 2026 deadline for publishing its interim results for the six months ended 30 June 2026 and the 30 September 2026 deadline for dispatching the corresponding interim report. Management said these documents will be released “as soon as possible” after the 2025 Annual Results are issued.

Operationally, the group—which manufactures recycled copper products in Southwest China—revealed that its main operating subsidiaries are under bankruptcy reorganisation. As part of the debt-restructuring process, the company is seeking external investment of RMB300.00 million to RMB500.00 million (approximately 0.30 billion to 0.50 billion) to accelerate restructuring efforts.

The Hong Kong Stock Exchange has set three resumption requirements: 1. Publish all outstanding financial results and address any audit modifications; 2. Demonstrate compliance with Listing Rule 13.24 (sufficient operations and assets of value); 3. Disclose all material information needed for investors to assess the company’s position.

Trading in CMRU shares has been halted since 1 April 2026 and will remain suspended until the above conditions are met. The board stated it will continue to issue quarterly updates on resumption progress and other material developments.

Shareholders and potential investors are advised to exercise caution when dealing in the company’s securities.
