Jiutai Digital Completes HK$21.00 Million Convertible Bond Issue, Adding Up to 174.88 Million New Shares

Jiutai Digital Technology Holdings Limited announced the completion of its HK$21.00 million convertible bond issuance under the company’s existing general mandate on 29 September 2026, following the fulfilment of all conditions precedent to the Subscription Agreement.

The bonds carry an initial conversion price of HK$0.120084154975807 per share. Full conversion would result in the issuance of approximately 174.88 million new shares, equivalent to about 20.00% of Jiutai Digital’s current issued share capital and roughly 16.67% of the enlarged share capital after conversion.

The transaction strengthens the company’s capital structure without immediate equity dilution, while preserving flexibility through the bond‐to‐equity mechanism. Chairman and CEO Yu Huang signed the announcement on behalf of the Board, which comprises eight directors—three executive, two non-executive and three independent non-executive members.
