Shandong Gold Mining Co., Ltd. (SD GOLD) will convene its second extraordinary general meeting (EGM) of 2026 at 09:30 a.m. on 10 July 2026 in the Company’s conference room, No. 2503 Jingshi Road, Licheng District, Jinan, Shandong Province, China.

Key agenda • Single ordinary resolution: election of Mr. Wang Chenglong as a non-independent director to the Company’s seventh Board of Directors, to be decided under the cumulative voting system. • Voting threshold: more than 50% of the votes cast by shareholders (including proxies) present at the EGM.

Proxy and procedural details • Shareholders can appoint the Chairman of the meeting or another individual as proxy; multiple proxies are permitted. • Completed proxy forms, together with any relevant authorisations, must reach Tricor Investor Services Limited, 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong, no later than 09:30 a.m. on 9 July 2026—24 hours before the EGM. • Proxies attending the meeting must present identification along with the proxy documents.

Cumulative voting framework Each share confers a number of votes equal to the number of directors to be elected (one in this case). Shareholders may allocate all votes to a single candidate or distribute them among candidates; votes exceeding the entitled total will be treated as invalid.
