Zoomlion (1157) Schedules H Shares Class Meeting for Proposed RMB6 Billion Convertible Bonds

Zoomlion Heavy Industry Science and Technology Co., Ltd. (Stock Code: 1157) will hold a class meeting of its H shareholders on Thursday, 11 December 2025, in Changsha City, Hunan Province, at 3:00 p.m. The meeting aims to review special resolutions concerning a potential issue of convertible bonds in an aggregate principal amount of up to RMB6 billion, convertible into H shares of the company.

The board seeks approval to grant a specific mandate authorizing the issue of the convertible bonds and the related H shares upon conversion. Subject to passage of these resolutions, the board and the chairman will be authorized to manage all relevant procedures, including adjusting the terms and implementation plan for placing the convertible bonds, approving and executing necessary agreements, and undertaking information disclosure.

Shareholders registered as of Thursday, 11 December 2025 will be entitled to attend and vote. The H share register will be closed from Monday, 8 December 2025 to Thursday, 11 December 2025. Holders intending to attend are required to lodge valid transfer documents by 4:30 p.m. on Friday, 5 December 2025. Attendance and voting at the meeting can be delegated by written proxy, and relevant proxy forms must be submitted to the company’s H share registrar at least 24 hours before the meeting starts.
