Tsingtao Brewery Company Limited has issued the notice of its 2025 Annual General Meeting (AGM), to be held on 26 June 2026 at the Tsingtao Time Resort Hotel in Qingdao. Shareholders on the H-share register at the close of business on 18 June 2026 will be eligible to attend and vote; the register will be closed from 22 to 26 June 2026.
The Board will seek approval for a final dividend of RMB2.35 per share (tax inclusive), representing an aggregate payout of about RMB3.21 billion across A- and H-shares. The per-share amount will remain unchanged should the share capital vary before the dividend record date. H-share investors will receive the dividend in Hong Kong dollars, converted at the average RMB/HKD central parity rate in the week preceding the AGM. Entitlement will be based on the H-share register as at 8 July 2026, and payment is scheduled for 10 August 2026 via Bank of China (Hong Kong) Trustees Ltd.
Ordinary resolutions will cover the 2025 Board work report, the audited financial statements, the profit-distribution plan, and the formulation of a remuneration system for directors and senior management.
The Board also proposes to re-appoint Deloitte Touche Tohmatsu Certified Public Accountants LLP as both external auditor and internal-control auditor for 2026, with fees set at RMB6.00 million and RMB1.90 million respectively.
A special resolution seeks shareholder consent to amend the Articles of Association; the Board secretary is authorised to complete related regulatory filings.
Elections will be held for three independent non-executive directors—Mr Wang Yaping, Ms Xue Shuang and Mr Chau Kwok Keung—using cumulative voting.
Shareholders unable to attend in person may submit proxy forms no later than 24 hours before the meeting. The AGM is expected to last no more than half a day, and participants will bear their own travel and accommodation expenses.
