Sunshine Pharma (Sunshine Lake Pharma Co., Ltd.) has announced the termination of its compliance adviser agreement with China Sunrise Capital Limited, effective 31 August 2026. The decision, reached by mutual consent, follows the impending resignation of several responsible officers at China Sunrise Capital, which would leave the firm unable to meet the qualifications stipulated under Rule 3A.26 of Hong Kong’s Listing Rules.
Concurrently, the Board has appointed Ignite Capital (Asia Pacific) Limited as the new compliance adviser, also taking effect on 31 August 2026. Ignite Capital is licensed to conduct Type 1 (dealing in securities) and Type 6 (advising on corporate finance) activities under the Hong Kong Securities and Futures Ordinance.
Under the new agreement, Ignite Capital will advise Sunshine Pharma until the company fulfills Rule 13.46 requirements for publishing its first full-year financial results post-listing (covering the year ending 31 December 2026) or until the agreement is otherwise terminated, whichever occurs first.
Both Sunshine Pharma’s Board and China Sunrise Capital confirmed that no other matters related to the termination need to be brought to the attention of shareholders or the Stock Exchange.
