ZTO Express Repurchases 0.07% of Share Capital on 22 September; 12.12 Million Shares Bought Back Since June Mandate

ZTO Express (Cayman) Inc. disclosed that it repurchased 499,161 American depositary shares (ADSs), each representing one Class A ordinary share, on 22 September 2026 via the New York Stock Exchange at prices ranging from USD 19.68 to USD 19.92 per share. The transaction cost USD 9.88 million and represents approximately 0.07% of the company’s total issued share capital of 763.43 million shares (comprising 557.33 million Class A and 206.10 million Class B ordinary shares).

The new filing shows no change in the company’s issued share count as the repurchased shares, intended for cancellation, had not yet been retired by the disclosure date. Consequently, the end-of-day issued share balance on 22 September remained 557.33 million Class A shares.

Since the shareholder-approved buyback mandate granted on 16 June 2026, ZTO Express has repurchased 12.12 million shares—equal to 1.58% of the shares outstanding on the mandate date—leaving authority to acquire up to a further 64.48 million shares under the 76.60 million-share limit. Between 12 August and 22 September, the company disclosed 29 on-market purchases totalling 9.56 million ADSs at individual daily prices ranging from USD 19.26 to USD 23.00.

A 30-day moratorium on new share issues or treasury-share sales remains in place until 22 October 2026, in line with Hong Kong Stock Exchange rules. The board confirmed that all repurchases complied with regulatory requirements on both the Hong Kong and New York exchanges and that no treasury shares are currently held.
