Baidu Sets 5 June 2026 for Annual General Meeting; No Shareholder Votes Planned

Baidu, Inc. (BIDU-SW) has scheduled its 2026 Annual General Meeting (AGM) for 9:00 a.m. Beijing/Hong Kong time on Friday, 5 June 2026, at the company’s headquarters on No. 10 Shangdi 10th Street, Haidian District, Beijing.

The board has confirmed that no resolutions will be put forward for shareholder approval at the AGM. Attendance eligibility is determined by the close of business on Monday, 18 May 2026—the designated Shares Record Date. Shareholders must lodge all valid share transfer documents with the Hong Kong branch share registrar, Computershare Hong Kong Investor Services Limited, by 4:30 p.m. Hong Kong time on that date to be recorded as of the Shares Record Date.

Under Baidu’s weighted voting rights structure, each Class A ordinary share carries one vote, while each Class B ordinary share carries ten votes. American Depositary Share (ADS) holders are not entitled to attend the AGM in person.

Electronic copies of the meeting notice and the company’s Annual Report for the fiscal year ended 31 December 2025 are available free of charge on Baidu’s investor relations site, the Hong Kong Stock Exchange website, and the U.S. Securities and Exchange Commission website.

The announcement was authorized by Chairman and Chief Executive Officer Robin Yanhong Li and released in Hong Kong on 30 April 2026.
