What happened

A major "high-price divorce" has emerged in the A-share market again. On October 12, Shennong Group announced that the divorce lawsuit between the company's controlling shareholder and actual controller He Zuxun and Luo Wanyu had recently reached a mediation agreement. Of the 261 million shares He Zuxun holds in the company, 30%, or 78.305 million shares, together with all corresponding rights and interests, will belong solely to Luo Wanyu. He Zuxun must cooperate in completing the share transfer registration procedures within 30 days from the date of receiving the civil mediation statement. Based on Shennong Group's closing price of 30.43 yuan per share on October 12, the market value corresponding to the 78.305 million shares divided in this settlement reaches 2.383 billion yuan.

Details of the mediation

According to the announcement, the lawsuit originated from a divorce and property division lawsuit filed by Luo Wanyu with the Guandu District People's Court of Kunming City in September 2026. The two parties have now reached a mediation agreement under the court's auspices and received the Civil Mediation Statement (2026) Yun 0111 Min Chu No. 22012, voluntarily dissolving their marriage relationship. At the same time, He Zuxun and Luo Wanyu signed a Concerted Action Agreement, stipulating that when Luo Wanyu exercises rights such as the right to propose and the right to vote at the company's board of directors and shareholders' meeting, she will act in concert with He Zuxun. Without He Zuxun's consent, Luo Wanyu will not submit any proposal to the board of directors or shareholders' meeting, and directors nominated by both parties must also maintain consistent voting when the board votes. This concerted action arrangement will remain effective for the period during which Luo Wanyu holds company shares and He Zuxun is recognized as the company's actual controller.

Impact on the company

The company stated that this lawsuit only involves the personal shareholder rights and interests of the controlling shareholder and actual controller, is unrelated to the company's production and operations, and has no major impact on the company's production and operations. After this equity division, the company's actual controller has not changed.
