Goertek Inc. (002241.SZ): Goertek Optical to Acquire 100% Stake in Shanghai Alai Through 530 Million Yuan Capital Increase

Goertek Inc. (002241.SZ) announced that its controlling subsidiary Goertek Optical Technology Co., Ltd. ("Goertek Optical") plans to acquire 100% equity of Sunny Optical Alai Micro-Nano Optics (Shanghai) Co., Ltd. and Sunny Optical Alai Micro-Nano Optoelectronic Information Technology (Shanghai) Co., Ltd. (collectively referred to as "Shanghai Alai") through issuing 529.511488 million yuan in new registered capital to the counterparties in a share swap transaction.

Upon completion of the share swap transaction, the company's shareholding in Goertek Optical will decrease from 56.6560% to 37.7707%, while remaining as the largest shareholder of Goertek Optical. Following the completion of the above transaction, considering the company's shareholding ratio in Goertek Optical and potential future agreements with other shareholders of Goertek Optical regarding board seats and articles of association, and in compliance with relevant accounting standards, Goertek Optical may no longer be included in the company's consolidated financial statements.

After the above transaction is completed, the company and Ningbo Sunny Optical Alai Technology Co., Ltd. ("Ningbo Alai") plan to respectively inject 200 million yuan into Goertek Optical to subscribe for 55.6406 million yuan in new registered capital (totaling 111.2812 million yuan in new registered capital). All other shareholders of Goertek Optical have waived their preemptive rights for this capital increase. Upon completion of this capital injection, the company's shareholding in Goertek Optical will increase to 38.5713%.
