CK Asset Schedules 21 May 2026 Hybrid AGM; Votes Sought on 2025 Results, Final Dividend, Board Elections and Capital Mandates

CK Asset Holdings Limited has circulated its proxy form for the Annual General Meeting (AGM) set for 21 May 2026 at 2:15 p.m., to be conducted as a hybrid event at Harbour Grand Kowloon and online. In case of a black rainstorm signal, typhoon signal No. 8 or “extreme conditions” at 9:00 a.m. that day, the meeting will be postponed to 27 May 2026 at the same time and venue.

Key resolutions to be decided by poll are as follows:

1. 2025 Financial Statements and Final Dividend • Shareholders will vote to receive the audited financial statements, directors’ report and independent auditor’s report for the year ended 31 December 2025. • A final dividend is proposed for approval; the payout amount was not specified in the proxy circular.

2. Board Composition • Election of six directors: Victor T K Li, Pau Yee Wan (Ezra), Cheong Ying Chew (Henry), Donald Jeffrey Roberts, Sng Sow-mei (alias Poon Sow Mei) and Lee Wai Mun (Rose).

3. Auditor Appointment • Messrs. Deloitte Touche Tohmatsu are nominated as external auditor, with authority for the board to determine remuneration.

4. Remuneration Resolutions • Ordinary Resolution 5(1): Approval of directors’ fees. • Ordinary Resolution 5(2): Approval of fees for members of the Audit, Remuneration, Nomination and Sustainability Committees.

5. Capital Authorities • Ordinary Resolution 6(1): General mandate empowering directors to issue additional shares. • Ordinary Resolution 6(2): General mandate authorising share buy-backs.

Administrative Arrangements • Shareholders may appoint one or more proxies; completed proxy forms must reach Computershare Hong Kong Investor Services or the company’s registered office at least 48 hours before the meeting. • For online participation, proxy holders will receive unique login details via the email address provided on the proxy form.

The notice reminds shareholders that voting instructions submitted through the online platform will override any votes cast by proxies at the physical venue once electronic voting closes.
