DONGYUE GROUP schedules 4 June 2026 AGM; proposes HK$0.30 final dividend and new share mandates

Dongyue Group Limited will convene its Annual General Meeting on 4 June 2026 at 11:00 a.m. (Event Space D, 5/F, United Centre, 95 Queensway, Admiralty, Hong Kong).

Key resolutions to be put before shareholders include:

• Financial statements: Adoption of the audited consolidated results for the year ended 31 December 2025, together with the Directors’ and Auditors’ reports.

• Board composition: Re-election of Executive Directors Mr. Zhang Jianhong and Ms. Chung Tak Lai, and Independent Non-Executive Director Mr. Yang Xiaoyong.

• Remuneration: Authorization for the Board to determine directors’ fees.

• Auditor: Re-appointment of Zhonghui Anda CPA Limited with Board-determined remuneration.

• Dividend: Declaration of a final dividend of HK$0.30 per share for FY 2025.

• Capital mandates: – Ordinary Resolution 6A: General mandate for the Board to allot, issue or deal with additional shares. – Ordinary Resolution 6B: General mandate to repurchase shares. – Ordinary Resolution 6C: Extension of the issuance mandate by adding the number of shares repurchased under Resolution 6B.

Shareholders wishing to vote by proxy must lodge their completed forms with Tricor Investor Services Limited no later than 48 hours before the meeting.
