Impression DHP Issues AGM Proxy Form: 2025 Results, Capital Increase and Board Election on Agenda

Impression DHP has circulated a proxy form for its annual general meeting scheduled for 09:00 on 28 May 2026 at the company’s conference room inside the Digital Tea Expo Hall, Tea Expo Park, Mount Wuyi, Fujian Province. Shareholders are invited to vote in person or by proxy on a series of ordinary and special resolutions that frame the company’s near-term strategic, financial and governance priorities.

Key items requiring shareholder approval include:

1. 2025 Performance Review • Board report, audit report, annual final financial report and full annual report with summary for 2025. • Profit distribution plan for the 2025 fiscal year. • Ordinary related-party transactions projected for 2026.

2. Forward-Looking Financial Management • 2026 annual budget financial report. • Estimated quota for purchasing wealth-management products with idle funds during 2026. • Re-appointment of the external auditor for 2026.

3. Capital Structure Adjustment • A special resolution proposes an increase in registered capital and corresponding amendments to the articles of association and related corporate policies.

4. Board Refresh • Election of the fourth session of the Board through cumulative voting: – Executive Director: Zheng Bin – Non-executive Directors: Chen Shixiong and Ma Qingnan – Independent Non-executive Directors: Chan Tsz Kit, Wang Xiaomin and Guo Ruizheng

Administrative Details • Shareholders may appoint the chairman of the meeting or another designated proxy. • Valid proxy forms, accompanied by any authorising documents, must reach Tricor Investor Services Limited no later than 24 hours prior to the meeting. • Joint shareholders have voting rights based on the sequence of names on the register. • Completion of the proxy form does not preclude personal attendance and voting.

The proxy form also contains a personal-data statement in accordance with Hong Kong’s Personal Data (Privacy) Ordinance, detailing shareholders’ rights to access and correct submitted information.
