Shanghai Fudan Microelectronics (1385) Announces 2025 Second Extraordinary General Meeting

Shanghai Fudan Microelectronics Group Company Limited (Stock Code: 1385) has scheduled its 2025 second extraordinary general meeting on 2 December 2025 at 1:30 p.m. This meeting will take place at Building 4, Fudan National University Science and Technology Park, 127 Guotai Road, Shanghai.

Key items under consideration include the proposal to utilize surplus funds from an A Share Offering, along with related income, for permanent replenishment of working capital. Shareholders will also vote on abolishing the Supervisory Committee, proposed amendments to the Articles of Association, and the adoption of the New Articles of Association. Authorization to proceed with relevant filing registrations is also on the agenda.

Further proposals cover management rules for proceeds, connected/related party transactions, external investments, and external guarantees. Shareholders will also consider procedures for general meetings and Board of Directors operations, plus working rules for Independent Directors. In addition, the meeting will include the election of a new Independent Director, Mr. Zhang Yu Ming, for the Tenth Session of the Board.

Eligible shareholders or their proxies are entitled to attend, and those holding H Shares of record by 2 December 2025 may participate. The notice specifies relevant procedures for proxy appointments, registration, and the closing of the Register of Members for H Shares from 27 November 2025 to 2 December 2025.
