Frasers Logistics & Commercial Trust issues 12.58 million new units to settle FY25 management fees

Frasers Logistics & Commercial Trust (FLCT) said on Nov, 13 2025 that it has issued 12.58 million new units to satisfy S$16.1 million of base and performance fees due to its managers for the quarter ended Sept, 30 2025 and for the full financial year ended the same date.

The new units were priced at S$0.9477 each, based on the volume-weighted average price over the last 10 trading days of the September quarter.

• REIT management fees: 6.27 million units were allotted for the S$7.24 million base fee covering Jul 1-Sep 30 2025, while 3.71 million units were issued for 47.9 per cent of the S$8.89 million REIT manager performance fee for FY25; the balance will be paid in cash.

• HAUT management fees: 1.37 million units settled the full base fee for Jul 1-Sep 30 2025, and 1.23 million units covered 74.7 per cent of the HAUT manager’s FY25 performance fee, with the remainder to be paid in cash.

Frasers Property Industrial Trust Holdings II (FPITH II) was nominated to receive 9.97 million units relating to the REIT manager’s fees and 2.60 million units relating to the HAUT manager’s fees, and will pay a total of S$11.92 million to the respective managers, equivalent to the aggregate issue price of those units.

Following the issuance, FLCT’s total units in issue stand at 3.79 billion. The REIT manager owns 19.2 million units, representing about 0.51 per cent of the total, while FPITH II holds 844.78 million units, or roughly 22.29 per cent.
