Times China Schedules 20 May 2026 AGM; Agenda Covers FY25 Results, Board Re-election and 20% Issuance Mandate

Times China Holdings Limited will convene its Annual General Meeting on 20 May 2026 at 10:00 a.m. in Suites 501-2, 5/F., ICBC Tower, Three Garden Road, Central, Hong Kong.

Key resolutions to be put to shareholder vote include:

1. Financial Statements • Adoption of the audited consolidated financial statements and the directors’ and independent auditor’s reports for the year ended 31 December 2025.

2. Board Composition and Remuneration • Re-election of Mr. Shum Chiu Hung as executive director. • Re-election of Ms. Sun Hui and Mr. Wong Wai Man as independent non-executive directors. • Authorisation for the board to determine directors’ remuneration.

3. Auditor Appointment • Re-appointment of Kenswick CPA Limited as external auditor until the conclusion of the 2027 AGM, with the board authorised to fix the auditor’s remuneration for the year ending 31 December 2026.

4. Capital Management Mandates • General mandate permitting the board to allot, issue or deal with additional shares— including any sale or transfer of treasury shares—up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the resolution. • Buy-back mandate authorising the company to repurchase up to 10% of its issued shares (excluding treasury shares). • Extension of the 20% issuance mandate by the aggregate number of shares bought back under the 10% repurchase mandate.

Shareholders registered on the company’s books may appoint a proxy to attend and vote, with completed proxy forms to be lodged at Computershare Hong Kong Investor Services Limited not less than 48 hours before the meeting. In-person attendance is required as the AGM will not offer a virtual participation option.
