Gpixel Changchun Microelectronics Inc. (Gpixel) disclosed on 16 October 2026 that two directors have submitted resignations and two replacements have been proposed, pending shareholder approval at an upcoming extraordinary general meeting (EGM).
Ms. Yang Yi will leave her post as non-executive director to concentrate on management duties at Luster LightTech, a substantial shareholder of Gpixel. Independent non-executive director Dr. Gao Teng has also resigned, citing a heavier workload elsewhere. Both departures will take effect once successors are formally appointed; the outgoing directors reported no disagreements with the board.
To fill the vacancies, the board has nominated Dr. Zhao Yan as a non-executive director and Mr. Xie Jijun as an independent non-executive director. Dr. Zhao, aged 50, is currently an employee representative director and deputy general manager at Luster. Since joining the company in 2004 he has held multiple senior technical and managerial roles. He holds a PhD in Physical Electronics from Beijing Institute of Technology (2004) and will not receive director’s fees from Gpixel.
Mr. Xie, aged 45, is senior vice president of KONE Great China Area and managing director of both KONE Great Bay Area and KONE Hong Kong. His prior experience includes leadership positions at SmartMore Corporation and Schneider Electric. Mr. Xie will receive an annual director’s fee of RMB0.10 million (before tax). He has affirmed compliance with all Hong Kong Listing Rule independence criteria.
Gpixel plans to execute service contracts with both nominees following shareholder approval at the EGM. Their terms will run through the end of the board’s current second session, after which re-election is permissible under the company’s articles of association. Neither nominee holds shares in Gpixel or its associated entities, and aside from Dr. Zhao’s roles at Luster, no material relationships with existing directors, senior management or major shareholders were disclosed.
