DualityBio issues 0.28 million new shares in July; public float remains compliant

Duality Biotherapeutics, Inc. (DualityBio) filed its July 2026 monthly return, detailing a small increase in issued capital driven by employee option exercises.

A total of 0.28 million ordinary shares were issued under the Pre-IPO Equity Incentive Plan, generating HKD 2.12 million in proceeds. Treasury stock was unchanged, leaving treasury holdings at 0.40 million shares.

Issued share capital (excluding treasury shares) rose to 90.82 million from 90.54 million at the end of June. Including treasury shares, total issued shares now stand at 91.22 million, representing 45.61 % of the 200 million shares authorised. Authorised share capital remained unchanged at USD 20,000, based on a par value of USD 0.0001 per share.

Option activity during the month comprised 280,000 options exercised and 19,786 options cancelled, reducing outstanding options under the Pre-IPO plan to 17.79 million. The plan still allows for up to 13.62 million additional shares to be issued. The separate 2025 Share Scheme holds an unused reserve of 2.93 million shares; no shares were issued from this scheme in July.

The company confirmed that it continued to meet the Main Board’s minimum public-float requirement of 25 % as of 31 July 2026. No movements were reported in warrants, convertible instruments, or Hong Kong depositary receipts.

DualityBio stated that all share-issue procedures complied with Hong Kong Listing Rules and applicable regulations.
