SJM Holdings (00880) Subsidiary Completes Full Acquisition of Arc de Triomphe Development Limited

SJM HOLDINGS (00880) announced that on November 20, 2025, its subsidiary, Sociedade de Jogos de Macau, S.A. (SJM Investment), entered into an agreement to acquire Arc de Triomphe Development Limited, the owner of the Arc de Triomphe Hotel. This well-known hotel property is situated on Avenida 24 de Junho in the Nape and Zona Nova de Aterros do Porto Exterior district of Macau, occupying a prime location within the peninsula's core entertainment and hospitality zone. The Arc de Triomphe Hotel boasts a total gross floor area of approximately 86,438 square meters, encompassing hotel rooms, dining facilities, retail spaces, and the Arc de Triomphe Casino. The acquisition was formally completed on December 17, 2025. Following the completion, the target group companies have become wholly-owned subsidiaries of SJM Investment.

On December 26, 2025, SJM Investment received approval from the Gaming Inspection and Coordination Bureau (DICJ) to directly manage and operate the casino gaming business at the Arc de Triomphe Casino, effective from 2:00 AM on December 30, 2025. Subsequent to the acquisition and the granting of regulatory approval, SJM Investment has assumed direct control over the hotel's guest services, food and beverage outlets, retail operations, and casino gaming activities. By establishing a presence in one of the city's most commercially vibrant tourism and entertainment hubs and solidifying its position in this high-density cluster, SJM Investment is better positioned to retain its core customer base in the Macau Peninsula area. This move deepens the synergistic effects with its iconic "Lisboa" portfolio of properties, optimizes customer flow cycles, and expands market coverage.

Furthermore, SJM Investment maintains a steadfast focus on the long-term development of Macau. Through initiatives that promote urban renewal in the Macau Peninsula, the company aims to enhance the quality and diversity of tourism services. It also supports Macau's ongoing efforts to enrich its status as a "World Centre of Tourism and Leisure," thereby contributing to the city's sustainable development and long-term prosperity.
