ZHENRO SERVICES (06958) announced that Ernst & Young (EY) has resigned as the company's auditor, effective from the date of this announcement. The decision follows the failure to reach a consensus on the proposed audit fees for the fiscal year ending December 31, 2025, with EY. Additionally, other qualified professional accounting firms offered more competitive proposals. To uphold strong corporate governance and enhance auditor independence, the Board Audit Committee and the Board of Directors have decided not to retain EY for audit services for the fiscal year ending December 31, 2025.
The Board further announced that, upon the recommendation of the Audit Committee, it has resolved to appoint Zhongzheng Tianheng Certified Public Accountants Co., Ltd. (Zhongzheng Tianheng) as the new auditor, effective immediately. Zhongzheng Tianheng will fill the interim vacancy left by EY and will serve until the conclusion of the next annual general meeting of shareholders, in accordance with the company's amended and restated articles of association.
