Yuexiu Property Secures HK$300 Million Revolving Credit Facility with Change-of-Control Trigger

On 28 September 2026, Yuexiu Property Company Limited signed a facility agreement with an unnamed bank, establishing a short-term revolving loan facility of up to HK$300.00 million (or its equivalent in CNH). The credit line carries a tenor of 364 days from the agreement date and is subject to customary terms and conditions stipulated in the contract.

A key covenant links the facility to the ownership status of Yue Xiu Enterprises (Holdings) Limited, the developer’s controlling shareholder. An event of default will be deemed to occur if any of the following take place:

• Yue Xiu’s direct or indirect stake in Yuexiu Property falls below 30%; • Yue Xiu ceases to be the single largest beneficial shareholder; or • Yue Xiu loses effective management control of the company.

Should any of these events transpire, the lending bank is entitled to declare all outstanding amounts under the facility immediately due and payable.

Yue Xiu currently holds approximately 44% of Yuexiu Property’s issued share capital, leaving a 14-percentage-point buffer above the specified threshold.

The announcement was issued by Company Secretary Yu Tat Fung and approved by Yuexiu Property’s board on 28 September 2026.
