HONBRIDGE (08137) announced details regarding an equity transfer agreement. Under the agreement, Kairong and Geely Automobile agreed to sell, and Suzhou Aipulesi agreed to purchase, approximately 24.5% and approximately 17.0% of the equity in Shandong Hengyuan New Energy Technology Co., Ltd., for considerations of RMB 9.29 million and RMB 5.51 million, respectively.

The announcement also covered a debt transfer agreement, whereby Kairong and the Company will transfer Debt A and Debt B, respectively, to Suzhou Aipulesi at zero cost.

All conditions precedent under the equity transfer agreement have been fulfilled, leading to the completion of the disposal on December 29, 2025.

Following the completion of the disposal, the Company no longer holds any equity interest in Shandong Hengyuan New Energy Technology Co., Ltd.
