SIMCERE PHARMA appoints Cherie Mak as Joint Company Secretary following Wai Ling Wong’s resignation

Simcere Pharmaceutical Group Limited (SIMCERE PHARMA) announced a change in its company secretarial team, effective 25 March 2026. Wai Ling Wong has resigned as Joint Company Secretary after confirming no disagreements with the Board and no matters requiring shareholder attention.

Cherie Mak Po Man, Vice President of SWCS Corporate Services Group (Hong Kong) Limited, has been appointed as the new Joint Company Secretary. Mak brings more than 20 years of audit, accounting, corporate finance, compliance and corporate secretarial experience. Her credentials include: • Master of Corporate Governance, The Hong Kong Polytechnic University (2017) • Associate member, The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (2017) • Member, Hong Kong Institute of Certified Public Accountants (since 2003) • Fellow, Association of Chartered Certified Accountants (since 2006)

Yushan Wan will continue to serve as the other Joint Company Secretary while remaining Executive Director and Chief Financial Officer. The Stock Exchange of Hong Kong has confirmed Wan’s compliance with Rule 3.28 of the Listing Rules.

The Board expressed its appreciation of Wong’s contributions and welcomed Mak to her new role. As of the announcement date, the Board consists of four executive directors and four independent non-executive directors, chaired by Ren Jinsheng.
